By accessing or using the Verilian platform, website, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms. If you do not agree, you may not access or use the Services.
You must be at least 18 years of age and capable of forming a binding contract to use our Services. By using the Services, you represent that you meet these requirements. Accounts registered by automated methods or by persons under the age of 18 are not authorized and will be terminated.
To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to: (a) use the Services in any way that violates applicable law or regulation; (b) attempt to interfere with, compromise, or disrupt the Services or related infrastructure; (c) reverse-engineer, decompile, or disassemble any part of the Services; (d) use the Services to transmit malicious code, spam, or unauthorized advertising; or (e) access or use the Services to build a competing product or service.
All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, software, data models, and underlying technology — are the exclusive property of Verilian, Inc. or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.
You retain ownership of any data, text, or other materials you submit through the Services ("Your Content"). By submitting Your Content, you grant Verilian a worldwide, non-exclusive, royalty-free license to use, process, and display Your Content solely as necessary to provide and improve the Services. You represent that you have all necessary rights to submit Your Content and that it does not infringe the rights of any third party.
Certain features of the Services may require payment. All fees are stated at the time of purchase and are non-refundable unless otherwise specified. You agree to provide a valid payment method and authorize Verilian to charge applicable fees. We reserve the right to change pricing with reasonable notice. Failure to pay may result in suspension or termination of your access to paid features.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms or the Services. This obligation does not apply to information that is publicly available, independently developed, or lawfully received from a third party without restriction.
We strive to maintain high availability of the Services, but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Services.
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Verilian does not warrant that the Services will meet your requirements, be accurate, or be free from errors or harmful components.
To the maximum extent permitted by applicable law, Verilian and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Services, whether based on warranty, contract, tort, or any other legal theory.
You agree to indemnify, defend, and hold harmless Verilian, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
Either party may terminate these Terms at any time. You may stop using the Services and close your account at any time. Verilian may suspend or terminate your access to the Services if you breach these Terms or if continued provision of the Services becomes impractical or unfeasible. Upon termination, your right to use the Services will cease immediately, though provisions that by their nature should survive termination will remain in effect.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
We may revise these Terms from time to time. When we make changes, we will update the effective date at the top of this page. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
